What you may do with this site, what it does not promise, and who stands behind it. Short, because there is not much to agree to: there are no accounts, nothing is sold, and nothing is asked of you.
Use it freely. Do not treat it as advice, do not assume every number is right, and do not hammer the server. If something here loses you money, that is on you — this is a reference tool, not a recommendation.
Insidervault republishes filings that directors, officers and large shareholders are legally required to make with the U.S. Securities and Exchange Commission. It reports what they did. It does not tell you what to do, and nothing here is a recommendation to buy, sell or hold anything.
Insiders trade for reasons that have nothing to do with their view of the company — tax bills, divorce, diversification, a plan locked in months earlier. Around 60% of the sales on this site were scheduled in advance under a Rule 10b5-1 plan, and those say nothing at all about what the seller thinks today. We are not a financial adviser, we are not licensed as one, and we do not want to be.
Everything here comes from SEC Form 4 filings, and filers make mistakes. We have found share prices off by a factor of a thousand, and filings where the total amount was typed into the price field. We catch what we can — derivatives are kept out of dollar totals, and prices far outside the normal range for a stock are excluded — but some errors are indistinguishable from real numbers without a market price to check against, and we do not have one.
So: every amount links to the original filing on sec.gov. If a number matters to you, click it and read the source. That link is the point of this site.
We make no promise that the data is complete, current or accurate, and we are not liable for decisions made on the basis of it. An error in a filing has to be corrected at the source; the SEC accepts an amended Form 4, and this site picks that up on its next run.
Read it, link to it, quote it, screenshot it. The underlying filings are public records in the public domain and we claim nothing over them. A link back is appreciated but not required.
Automated access is fine in moderation — a few requests per minute will never bother anyone. Systematically downloading the whole site is not, partly because it costs us money and partly because it is pointless: the SEC publishes the same filings for free at sec.gov, and that is where we get them too.
This is a side project running on free plans. It may be slow, it may be briefly down, and it may stop existing. There is no uptime promise and no support desk. If something looks broken, the address below works.
For anything at all, write to privacy@insidervault.app.
If these terms change, the date at the top changes with them. There is no account to notify, so that date is the only record — and the privacy page works the same way.
Nothing on this page is legal advice, and nothing on the rest of the site is financial advice.
